Terms of Business

  1. These conditions apply to all contracts and override all conditions stipulated by the Buyer.

  2. Delivery dates are approximate only and whilst every effort will be made to meet such dates RW Badland Ltd. (hereafter described as 'the Company') will not accept responsibility or liability if any delivery dates are not met.

  3. The price to be paid for the goods includes the cost of packaging. The price to be paid for the goods will be the Company's list price prevailing upon the date upon which the goods are dispatched.

  4. Payment for the goods shall be made within thirty days of the day upon which the goods are invoiced by the Company.

  5. The Company may at any time require the Buyer to make payment in advance of delivery.

  6. Complaints by the Buyer in respect of goods alleged to be defective shall not be a ground for the Buyer to withold payments of accounts due to the Company from the Buyer and shall not give any right of set-off against payments due from the Buyer to the Company.

  7. If any goods supplied or processed by or on behalf of the Company prove on inspection to be defective in material or workmanship the Company undertakes as its option to replace the same or refund to the Buyer the price of the goods and in no circumstances will liability exceed the cost of replacement or the price paid by the Buyer for the goods.

  8. The Buyer shall determine the suitability of the products for its intended use and shall not rely upon representations made by or on behalf of the Company. In no circumstances will the Company's liability exceed the limitations set forth in 7 above.
    Save as stated in 7 above the Company will not be liable for any loss or damage whether consequential or otherwise arising from the supply of goods by the Company.

  9. In the event of a Receiver being appointed of a Buyer's property or assets or any part thereof, or of a court order being made or resolution passed for the winding up of the Buyer (except for the purpose of amalgamation or reconstruction) or of the Buyer committing any act of bankruptcy, or having any bankruptcy petition presented against him, then the Company shall be at liberty forthwith by notice in writing to the Buyer to cancel all orders and contracts or any part thereof remaining unfulfilled between the Company and the Buyer.

  10. All contracts between the Company and the Buyer shall be goverened and construed in accordance with the Laws of England and the Buyer agrees to submit to the jurisdiction of the Courts of Law in England in respect thereof.
